These Terms of Service ("Terms") govern your use of PricePath. By creating an account or using the app, you agree to these Terms. If you don't agree, don't use PricePath.
PricePath is a mobile application that uses AI to analyze used-goods listings and help users negotiate with sellers. The service is currently operated by John Oxnard as a sole proprietorship, with plans to incorporate as a limited liability company. In these Terms, "PricePath," "we," "us," and "our" refer to the service.
You must be at least 18 years old to use PricePath. By using the app, you represent that you are 18 or older and capable of entering into a binding legal agreement.
If you are using PricePath on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
To use PricePath, you create an account using an email address and password. You are responsible for:

PricePath generates price estimates, negotiation advice, and message suggestions using artificial intelligence. The AI processes listing text, photos, and your input to produce its output.
The AI's output is informational only. It is not professional advice.
Specifically:
You alone are responsible for your purchase decisions, negotiation strategy, and any communications you send to sellers. PricePath provides a tool. You decide whether and how to use the output. We are not liable for outcomes resulting from your reliance on the AI's output.
If you need professional advice (legal, financial, mechanical, appraisal), consult a qualified professional. PricePath is not a substitute for professional judgment.
PricePath offers a free tier that includes 3 listing analyses and 3 reply credits. After exhausting the free tier, you must subscribe or purchase additional credits to continue using paid features.
PricePath offers a monthly subscription at $14.99 per month (USD; prices in other currencies are determined by the App Store or Play Store). The subscription provides unlimited analyses and reply credits while active.
The subscription auto-renews monthly until you cancel. You will be charged at the start of each renewal period. To cancel:
Cancellation takes effect at the end of the current billing period. You retain access until then.
PricePath offers credit packs (currently a 10-analysis pack for $7.99). Credit packs are one-time purchases that grant a fixed number of analyses. Credits do not expire while your account is active.
We do not directly issue refunds. Refund requests must go through Apple or Google:
Apple and Google determine refund eligibility according to their own policies.
We may change subscription prices or credit pack prices. If we change the price of an active subscription, we will notify you and you can cancel before the new price takes effect.
When you use PricePath, you submit content: listing text, photos, comp data, seller messages, deal outcomes.
You retain ownership of the content you submit. We don't claim ownership of your listings, your photos, or your messages.
By submitting content, you grant PricePath a worldwide, royalty-free, non-exclusive license to use, store, process, and analyze that content for the purpose of operating and improving the service. This license includes the right to:
This license terminates when you delete the content or your account, except for anonymized aggregated data that is no longer linked to your identity.
You represent that you have the right to submit any content you submit. If you submit a photo, you confirm that you have permission to use it. If you paste listing text, you confirm that doing so does not violate the source platform's terms.
You are responsible for the content you submit. We are not responsible for the accuracy of listings, the truthfulness of seller messages, or the reliability of comp data you provide.
PricePath, including the app, the AI systems, the prompts that drive them, the visual design, and the brand, are owned by us and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use the app for personal, non-commercial purposes consistent with these Terms.
You may not:
Your use of PricePath is also governed by our Privacy Policy. By using the service, you consent to the data practices described there.
You can stop using PricePath at any time. You can delete your account through Settings → Delete Account. Deletion removes your account, your analyses, and your negotiation history within 30 days.
If you have an active subscription, deleting your account does not automatically cancel the subscription. Cancel through your App Store or Play Store first to avoid further charges.
We may suspend or terminate your account if:
If we terminate your account without cause, we will provide a refund for any unused portion of an active subscription, prorated to the date of termination, where required by law.
PricePath is provided "as is" and "as available," without warranties of any kind, express or implied. We disclaim all warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that:
To the fullest extent permitted by law, PricePath and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Our total liability for any claim related to PricePath is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify and hold harmless PricePath and its operators from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:
If you have a dispute with us, please contact us first at support@pricepath.app. We'll try to resolve it informally.
If we can't resolve the dispute informally within 60 days, any dispute arising out of or related to these Terms or your use of PricePath will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in Hillsborough County, Florida, or remotely at the arbitrator's discretion.
Under the AAA Consumer Arbitration Rules, your filing fees are capped (currently $200), and PricePath pays the remaining arbitration costs. You are responsible for your own attorney's fees, except where the arbitrator orders otherwise.
The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.
You and PricePath agree that disputes will be resolved on an individual basis only. You may not bring or participate in a class action, collective action, or representative proceeding against PricePath.
This arbitration agreement does not apply to:
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. For any claims not subject to arbitration, the exclusive venue is the state or federal courts located in Hillsborough County, Florida, and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top. If we make material changes, we'll notify you in the app or by email. Continued use of PricePath after the changes take effect constitutes acceptance of the updated Terms.
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and PricePath regarding the service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment. You may not assign your rights under these Terms. We may assign our rights to a successor entity (including upon incorporation as PricePath LLC or any future corporate restructuring).
